JOB ACCOUNTABILITIES:

  • Responsible for all engineering, procurement and construction (EPC) related transactions carried out by DPW (predominantly DDW). Provide effective, reliable and user-friendly support, advice and assistance to senior managers within DDW and DPW regarding EPC contracts.
  • Review, draft and negotiate a broad range of legal documents (including EPC contracts, joint venture agreements, pre-bid agreements, consortium agreements, project services agreements) ensuring that legal requirements are met within such documents.
  • Identify and analyze legal issues arising in EPC transactions, related business strategies and initiatives. Make clear and commercially focused recommendations in respect of such issues. Manage the transactions and projects including their implementation from a legal perspective.
  • Manage DPW (predominantly DDW) EPC transactions in association with other senior business managers to ensure that legal, operational and commercial objectives are met.
  • Assist in the identification, management and control of legal and related operational risks relating to all aspects DDW’s EPC projects.
  • Manage relationships and maintain strong links with external legal counsel.  Select appropriate external legal counsel for work that is to be outsourced.  Ensure that external legal counsel selected have sufficient expertise for the specific work and offer the best value in relation to the service they provide to DDW and DP World.  Manage external legal spend for projects for which the job holder has day to day responsibilities.
  • Act as a liaison between commercial colleagues and external legal counsel.  Provide external legal counsel with clear and explicit instructions.  Oversee and review work carried out by external legal counsel.  Manage transactions in association with senior business managers to ensure commercial and legal objectives are met.
  • Develop and maintain standard template documents for commonly used legal agreements. Implement and maintain an effective document management system in respect of executed legal documentation.
  • Provide effective reporting to the SVP- Group Legal. Work with senior managers within DDW and DPW in conjunction with other functional specialists where appropriate to create and implement best practice policies and procedures to enhance efficiency and minimize risks relating to EPC transactions.
  • Act as an ambassador for DP World and DDW at all times when working; promoting and demonstrating positive behaviours in harmony with DP World’s Principles, values and culture; ensuring the highest level of safety is applied in all activities; understanding and following DP World’s Code of Conduct and Ethics policies
  • Perform other related duties as assigned

KEY DELIVERABLES:

  • Legal management of all the lifecycle of DPW (predominantly DDW) EPC projects from pre-contract and tendering phase to post contract award and dispute management.
  • Review, draft and negotiate a broad range of legal documents (including EPC contracts, joint venture agreements, pre-bid agreements, consortium agreements, project services agreements) ensuring that legal requirements are met within such documents.

QUALIFICATIONS, EXPERIENCE & SKILLS:

  • Law Degree from an accredited university.
  • Qualification to practice law from a recognised legal regulatory body.
  • 10+ years’ experience in an internationally recognised law firm and/ or multinational company. 
  • Specialist knowledge of EPC transactions including running EPC project from tender through to contract award and post award.
  • Experience with EPC contract dispute management (e.g. mediation/adjudication/arbitration)
  • In depth experience of drafting and negotiating FIDIC contracts and major subcontracts
  • In depth experience of structuring, drafting and negotiation of joint venture / consortium agreements, project services agreements, pre-bid agreements.
  • Advanced commercial awareness and understanding of business needs (including awareness and sensitivity to differing international legal and cultural business practices, and the flexibility to work within different cultural environments).  Strategic thinking and planning skills.
  • Excellent analytical, organisational and leadership skills.  Language skills
  • Ability to effectively negotiate legal issues and transaction documentation with counterparties.
  • Strong communication and interpersonal skills, enabling effective communication with all levels within DPW and its subsidiaries, joint venture partners, board members, government and regulatory representatives and external legal counsel.
